When you buy assets in a business, you are not buying the business yourself, but only one aspect of it. This can mean a product, a client list or some kind of intellectual property. The company retains its name, commitments and tax returns. It contains the terms of sale contained or not contained in the sale price, as well as optional clauses and guarantees to protect the seller and buyer after the transaction has been concluded. BSBs also contain detailed information about the buyer and seller. The agreement covers all pre-negotiation deposits and acknowledges parts of the agreement that have already been completed. The agreement also records the date of the final sale. A sales contract (SPA) is a binding legal agreement between two parties that binds a transaction between a buyer and a seller. SPAs are generally used for real estate transactions, but they are present in all industries. The agreement concludes the terms of sale and is the culmination of negotiations between buyer and seller.
The fasteners are permanently connected to the property (z.B. a bridge, showers and electrical wiring) and are included in the property. All other moving items are and are only included in the sale if they are included in the sales and sales contract. The buyer will try to prevent the seller from creating a new competitive business that will damage the value of the business sold.
